The conveyancing process

1. Getting started

Once you instruct us, we will:

  • Confirm the scope of our work.
  • Provide information about our fees and likely disbursements.
  • Verify your identity.
  • Obtain information about the transaction.
  • Confirm any mortgage, sale, purchase or chain details.
  • Explain the documents and information we need from you.

Identity checks and source of funds enquiries are part of our legal and regulatory obligations under the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017.

Providing information promptly at the beginning can help prevent avoidable delays later. 

2. If you are selling

We will obtain the title information and prepare the contract package. This may include:

  • Property information forms.
  • Fixtures and fittings information.
  • Guarantees and warranties.
  • Planning and building regulation documents.
  • Information about alterations and extensions.
  • Leasehold or management information, where applicable.

Preparing the contract papers early can help the sale progress more efficiently once a buyer is found.

3. If you are buying

A contract for the sale or other disposition of an interest in land must comply with statutory formalities under the Law of Property (Miscellaneous Provisions) Act 1989, s 2.

4. Searches and enquiries

Searches help identify matters affecting the property and its surroundings. Depending on the circumstances, these may include:

  • Local authority searches.
  • Water and drainage searches.
  • Environmental searches.
  • Flood risk searches.
  • Coal mining or other mining searches.
  • Planning and highways information.
  • Chancel repair searches.
  • Additional location specific searches.

We will consider the results and raise further enquiries where appropriate. Searches do not assess the physical condition of a property, so we usually recommend that buyers arrange an independent survey.

5. Mortgage and funding

If you are borrowing to fund the purchase, we will review the mortgage offer and deal with the lender’s legal requirements where we are able to act for that lender.

You should not exchange contracts until you are satisfied that:

  • Your mortgage offer is in place.
  • Any conditions attached to the offer can be met.
  • Your deposit and other funds are available.
  • You can complete on the proposed completion date.

A lender may require further information about gifted deposits, alterations, planning matters, lease terms, buildings insurance or other issues.

6. Reporting to you

Before exchange of contracts, we will provide a report explaining the important legal and practical matters identified.
Our report may cover:

  • The title.

  • Search results.

  • Rights and restrictions.

  • Covenants and easements.

  • Leasehold obligations.

  • Replies to enquiries.

  • Mortgage conditions.

  • Completion arrangements.

  • Any risks or outstanding issues.

Our role is not simply to process paperwork. We help you understand the transaction so that you can decide whether and how to proceed.

7. Exchange of contracts

Exchange of contracts is generally the point at which the parties become legally committed to complete, unless the contract contains specific conditions.
The contract will normally set out:

  • The purchase price.

  • The deposit.

  • The property being sold.

  • The completion date.

  • Any special conditions.

  • The consequences of failing to complete.

Before exchange, you should be satisfied with the legal advice provided and the condition and suitability of the property. You should also have arranged buildings insurance where appropriate and made practical arrangements for moving.

8. Completion

Completion takes place when the purchase money has been received and the contractual requirements have been satisfied.
For a buyer, completion usually means that ownership or the relevant contractual interest passes in accordance with the contract and that the keys can be released. For a seller, completion means that the sale proceeds are received, any existing mortgage is redeemed and the remaining balance is dealt with in accordance with your instructions.

9. After completion

Our work may continue after completion. Depending on the matter, we may:

  • Submit the Stamp Duty Land Tax return and arrange payment where applicable.
  • Register the transfer and mortgage at HM Land Registry.
  • Deal with restrictions on the title.
  • Notify a landlord, freeholder or managing agent.
  • Deal with leasehold notices and certificates.
  • Provide confirmation and registration documents once available.

Stamp Duty Land Tax returns and payment are generally due within 14 days of the effective date of a transaction under the Finance Act 2003, s 76A. The amount payable depends on the property and the purchaser’s circumstances.
A transfer of a registered estate and the creation of certain registrable interests must be registered at HM Land Registry under the Land Registration Act 2002, s 27.

Frequently Asked Questions

There is no fixed timescale. A straightforward transaction may take several weeks, but a matter may take longer where there is a chain, a leasehold property, a new-build purchase, a mortgage, delayed searches, incomplete title information or complex enquiries.
We will give you an initial indication of likely timescales and update you if circumstances change. A completion date cannot normally be guaranteed until it has been agreed and included in the contract.

You should instruct us as early as possible. Sellers may benefit from instructing us before the property is marketed, allowing the contract papers to be prepared in advance. Buyers should instruct us as soon as an offer is accepted, or earlier if they require advice before making an offer.

Exchange is generally when the contract becomes binding. Completion is when the transaction is completed and the purchase money is transferred. A buyer or seller who fails to complete after exchange may face serious contractual and financial consequences. If you have concerns, contact us immediately.

Searches and legal investigations do not normally assess the physical condition of a property. A survey may identify structural or other defects that are not apparent from the legal documents. We can explain the distinction between conveyancing searches and a survey, but a survey should be obtained from an appropriately qualified surveyor.

Leasehold property is held for a fixed term under a lease. We will consider matters such as:

  • The remaining term.
  • Ground rent.
  • Service charges.
  • Planned major works.
  • Restrictions on alterations or subletting.
  • Consent and notice requirements.
  • Building insurance.
  • Management company arrangements.
  • Arrears and historic charges.
  • Requirements affecting resale or remortgage.

Leasehold transactions can take longer where information must be obtained from a landlord, freeholder or managing agent.

Costs may include:

  • Our legal fees.
  • VAT, where applicable.
  • Search fees.
  • HM Land Registry fees.
  • Stamp Duty Land Tax, where applicable.
  • Mortgage or lender charges.
  • Leasehold notices and management company fees.
  • Bank transfer charges.
    Landlord or managing agent fees.
  • Additional fees arising from unusual complexity or work outside the agreed scope.

We will provide a written estimate or quotation and explain the anticipated disbursements. If additional work becomes necessary, we will explain this wherever possible before significant additional costs are incurred.

Withdrawal after exchange can result in serious financial and contractual consequences. You should contact us before taking any action if you are considering withdrawing or are concerned about the transaction.

A chain exists where several connected sales and purchases depend on one another. Completion dates may need to be coordinated across the chain.
We will liaise with the other conveyancers and keep you updated, but the timing may depend on matters outside our control.

We may need evidence showing where your funds have come from. This could include savings, a gift, an inheritance, the sale of another property, a loan or funds held overseas. If your deposit is gifted, your mortgage lender may have specific requirements. Tell us about any gifted deposit at the outset.

Property transactions involve the transfer of substantial sums of money. Treat any unexpected change to bank details as potentially fraudulent.
